Terms of Service

By accessing or using the Argus SDK, platform, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Argus ("Company," "we," "us," or "our").

If you do not agree to these Terms, you must not access or use our Services.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by email or through the platform at least 30 days before the changes take effect. Your continued use of the Services after such notice constitutes acceptance of the modified Terms.

To use our Services, you must register for an account. By registering, you agree that:

• You will provide accurate, current, and complete registration information
• You are at least 18 years of age
• You have the authority to bind your company or organization to these Terms
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You will promptly notify us of any unauthorized use of your account

Each entity may maintain only one account unless expressly authorized in writing by us. We reserve the right to refuse registration or cancel accounts at our discretion.

If you use our Services, you represent, warrant, and agree that:

• You have the legal right to submit all lead data to our platform
• You have obtained all necessary consents from consumers, including TCPA-compliant express written consent for leads that may be contacted by telephone
• Your website or application displays a privacy policy that accurately discloses the use of Argus for lead verification
• You will not submit fraudulent, fabricated, or artificially generated leads
• You will not attempt to reverse engineer, decompile, or otherwise discover the source code or methodology of our SDK or scoring systems
• You will maintain documentation of consumer consent and provide such documentation upon request within 48 hours
• You will comply with all applicable federal, state, and local laws

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Argus SDK solely for integrating our verification services into your approved websites and applications.

This license does NOT permit you to:

• Use the SDK on domains or applications not registered with your account
• Modify, adapt, translate, or create derivative works of the SDK
• Decompile, reverse engineer, disassemble, or otherwise attempt to derive source code
• Use the SDK to develop products or services that compete with our Services
• Share, transfer, or allow unauthorized access to your API keys
• Remove or alter any proprietary notices or labels on the SDK
• Use the SDK in any manner that could damage or overburden our infrastructure

We reserve the right to revoke this license immediately upon any violation of these Terms or for any reason at our sole discretion with notice.

The following fee structure applies to our Services:

• All fees are non-refundable unless otherwise stated in writing
• We may modify pricing with at least 30 days advance notice
• Failure to pay fees may result in suspension or termination of Services
• You are responsible for all applicable taxes

With respect to data processed through our Services:

• We process personal data in accordance with our Privacy Policy, which is incorporated into these Terms by reference
• You are responsible for ensuring your use of lead data complies with all applicable data protection laws, including CCPA, GDPR, and state privacy laws
• You grant us a non-exclusive, worldwide license to use, process, and store data submitted through our Services for the purpose of operating and improving our Services
• We may aggregate and anonymize data for analytics, benchmarking, and service improvement purposes

You agree NOT to:

• Submit fraudulent, fabricated, or artificially generated leads
• Use automated tools, bots, or scripts to access our Services beyond the authorized SDK integration
• Scrape, crawl, or harvest data from our platform
• Interfere with or disrupt the operation of our Services or infrastructure
• Send spam or engage in unauthorized marketing activities
• Use our Services for any illegal purpose or in violation of any laws
• Violate the intellectual property or privacy rights of any third party
• Attempt to gain unauthorized access to our systems or other users' accounts
• Circumvent any security measures or access controls

The Argus name, logos, and all related trademarks, service marks, and trade names are our exclusive property.

The SDK code, verification methodology, scoring algorithms, and all associated technology are proprietary and protected by intellectual property laws.

• You may not copy, modify, distribute, or create derivative works of our IP
• You may not use our marks without prior written consent
• All rights not expressly granted in these Terms are reserved by us

Any feedback, suggestions, or improvements you provide regarding our Services may be used by us without any obligation to you.

To the fullest extent permitted by law, we disclaim all warranties, including:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Any warranty that the Services will be uninterrupted, error-free, or secure
• Any warranty regarding the accuracy of lead scores or verification results

Lead scores and recommendations are assessments based on available data and are not guarantees of lead quality, authenticity, or conversion potential.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities
• Our total liability for any claims arising from these Terms or your use of the Services shall not exceed the total fees paid by you in the 12 months preceding the claim

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

You agree to indemnify, defend, and hold harmless Argus and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your violation of these Terms
• Your violation of any applicable laws or regulations
• Your collection, handling, or use of lead data
• Claims by consumers you have contacted or whose data you have processed
• Your infringement of any third-party rights
• Any fraudulent or illegal activity conducted through your account

Either party may terminate this agreement with 30 days written notice to the other party.

We may terminate or suspend your access immediately, without prior notice, if:

• You breach any provision of these Terms
• We reasonably believe you are engaged in fraudulent activity
• Required by law or government request
• Your account has been inactive for an extended period

Upon termination:

• Your access to all Services will be immediately revoked
• You must cease all use of our SDK and destroy any copies
• Unused credits are non-refundable unless otherwise required by law

Sections 9-12, 14, and 15 shall survive termination of these Terms.

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions.

Arbitration: Any dispute arising from these Terms or your use of the Services shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Salt Lake City, Utah.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Small Claims Exception: Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Services and supersede all prior agreements and understandings.

Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

No Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by us.

Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.
